What You Will Learn

The?ethics rules apply equally to all lawyers.? but transactional practice is different from litigation practice, and the ethical issues faced by business lawyers often arise under different circumstances and require different solutions.?

In this 60-minute seminar, updated for 2010, nationally recognized ethics speakers Michael Downey and William Freivogel explore three distinct areas where thorny ethical issues commonly confront business lawyers: confidentiality, negotiation ethics, and multijurisdictional practice.

Confidentiality concerns in a transactional practice, particularly when providing services to multiple corporations or corporations and their owners or employees

Confidentiality and privilege concerns when dealing with business consultants and auditors

Disclosing wrongful conduct of corporate insiders

Candor in business negotiations

Limits on cross-border business transactions

Faculty

Michael P. Downey is a partner in the national legal ethics practice group at Hinshaw and Culbertson LLP, where his practice focuses on advising and representing lawyers, accountants, and their firms on legal, ethics, discipline, risk management, and related business and professional issues. Mr. Downey also teaches legal ethics and law firm practice as an adjunct professor at Washington University and St. Louis University. He has served on and led numerous bar committees, including chairing the ABA?s Ethics & Technology Committee and the Illinois State Bar Association?s Standing Committee on Professional Conduct. Mr. Downey has presented more than 200 times and published more than 40 articles on professional ethics. He has also been interviewed on professional ethics numerous times, including appearing on the front page of the New York Times and on NPR?s Talk of the Nation. Mr. Downey?s first book, Introduction to Law Firm Practice, should be released in early 2010.

William Freivogel is the Principal of Freivogel Ethics Consulting in Chicago and formerly Senior Vice President ? Loss Prevention of Aon Risk Services, inc., where he was responsible for providing professional responsibility advice and risk management services to his company?s law firm clients. Mr. Freivogel was a trial lawyer for 23 years and since 1987 has concentrated on legal ethics, lawyer malpractice, and related disciplines.? He served on the American Law Institute?s Members? Consultative Group for the Restatement of the Law Governing Lawyers and as a member of the Advisory Council to the American Bar Association?s Ethics 2000 Commission.?He is currently Chair of the ABA Business Law Section?s Professional Responsibility Committee and a member of the ABA/BNA Lawyers? Manual on Professional Conduct Editorial Board. Mr. Freivogel writes and speaks extensively in the areas of legal ethics and loss prevention, and is the author of Freivogel on Conflicts, a comprehensive online guide to conflicts of interest.
